1. About us

This website and online store are operated by Stitchery Shop LLC, a Virginia limited liability company.

Throughout these Terms of Service, “Stitchery Shop,” “we,” “us,” and “our” refer to Stitchery Shop LLC.

Our website is available at stitchery.shop.

Our store is hosted by Shopify, which provides the ecommerce platform that enables us to offer products and services online. Shopify is not the seller of products purchased through our store. Your purchase agreement is with Stitchery Shop LLC.

Our collection and use of personal information are described in our Privacy Policy.

Our legal and contact information is provided in Section 24 of these Terms.

2. Acceptance of these Terms

These Terms of Service govern:

your access to and use of stitchery.shop;
purchases made through our online store;
customer accounts;
reviews, photographs and other content submitted through the website;
features and services made available through the website.

By accessing the website, creating an account, submitting an order or otherwise using our services, you agree to these Terms and the policies incorporated into them.

Please read these Terms before using the website or placing an order.

If you do not agree to these Terms, you should not use the website or submit an order.

3. Eligibility

You must be legally capable of entering into a binding contract under the laws that apply in your place of residence.

A person who has not reached the applicable age of majority may use the website or place an order only with the involvement and permission of a parent or legal guardian.

You may not use the website, our services or our products for any unlawful or unauthorized purpose.

4. Customer accounts

You may be able to use the website with or without creating a customer account.

You are responsible for:

providing accurate and current account information;
maintaining the confidentiality of your login credentials;
restricting unauthorized access to your account;
promptly notifying us if you believe your account has been accessed without permission.

You must not impersonate another person, create an account using false information or use another person’s payment or contact information without authorization.

We may temporarily restrict or suspend access to an account when reasonably necessary to investigate suspected fraud, security concerns, unauthorized access or material violations of these Terms.

5. Product information

We make reasonable efforts to present accurate product descriptions, photographs, dimensions, materials, kit contents, colors, prices and availability information.

Because screen settings, photography and lighting conditions vary, actual colors may differ slightly from those displayed on your device.

Craft kits, printed materials, wooden components and other manufactured or handmade items may have minor variations that do not materially affect their intended function.

Product photographs may show completed projects, decorative props, frames, furniture, tools, accessories or staging materials. These items are not included unless they are expressly listed in the product description or kit contents.

You are responsible for reviewing the product description, dimensions, materials, skill requirements and kit contents before submitting an order.

6. Prices, currencies and promotions

Product prices are displayed in the currency selected or presented during checkout.

Prices, promotions and product availability may change before an order is submitted.

The price shown during checkout when you submit the order is the applicable product price, subject to correction of an obvious technical, typographical or pricing error.

Promotions and discount codes may be subject to additional terms displayed with the offer.

Unless otherwise stated:

discount codes cannot be exchanged for cash;
discounts cannot be applied retroactively;
discounts may exclude certain products, collections, taxes or shipping charges;
a promotion may end when its stated period expires or its allocated inventory is exhausted;
multiple discount codes might not be combinable.

We may correct or cancel a promotion affected by a technical error, unauthorized distribution, fraud or misuse, subject to applicable law.

7. Orders and order acceptance

Submitting an order constitutes an offer to purchase the products listed in the order.

An automated order-confirmation email acknowledges that we received the order. It does not necessarily mean that the order has been accepted or that every item is available.

Unless we expressly state otherwise, an order is accepted when we confirm fulfillment or shipment.

Before shipment, we may decline, limit or cancel an order for a legitimate reason, including:

insufficient inventory;
inability to authorize or verify payment;
suspected fraud or unauthorized activity;
an incomplete, incorrect or undeliverable address;
an obvious pricing or product-listing error;
shipping, customs or legal restrictions;
inability to ship the product to the selected destination;
an order quantity that reasonably appears intended for unauthorized resale.

We may limit quantities purchased using the same customer account, payment method, billing address or shipping address when reasonably necessary.

If we cancel an order after payment has been captured, we will refund the amount charged for the cancelled item or order, including applicable associated shipping charges.

Nothing in this section limits cancellation or refund rights provided by applicable consumer law.

8. Payments and billing information

You agree to provide complete, accurate and current billing, shipping and payment information.

Payments may be processed through Shopify Payments or another payment provider offered during checkout.

Payment providers may apply their own authorization procedures, fraud screening, security requirements, currency conversion and verification procedures.

We do not directly receive or store complete payment-card numbers submitted through Shopify checkout.

An authorization or pending charge does not necessarily mean that the order has been finally accepted.

9. Taxes, customs and additional charges

Taxes collected during checkout will be displayed before you submit the order.

International orders may also be subject to:

VAT;
customs duties;
import taxes;
postal handling charges;
brokerage fees;
carrier charges.

When duties or import taxes are collected during checkout, they will be included in the displayed order total.

When such charges are not collected during checkout, they may be payable by the recipient as described in our Shipping Policy.

We do not determine or control charges imposed independently by customs authorities, postal operators or delivery carriers.

10. Shipping and delivery

Order processing, shipping origins, available destinations, shipping charges, tracking, estimated delivery times, customs processing, address corrections, delayed shipments and returned packages are governed by our Shipping Policy.

Processing time and carrier transit time are separate.

Any delivery date or transit time displayed during checkout, in an order confirmation or in a shipping notification is an estimate unless we expressly identify it as a guaranteed delivery date.

International shipments may be delayed by customs processing, postal disruptions, weather, public holidays and other circumstances outside our direct control.

Nothing in these Terms limits rights provided by applicable law concerning delayed, damaged, missing or incorrectly delivered goods.

11. Cancellations, returns and refunds

Cancellation requests, return eligibility, return shipping costs, damaged or incomplete orders, exchanges and refunds are governed by our Return and Refund Policy.

Some products may have return restrictions, including:

personalized or custom-made products;
gift cards;
digital products, where applicable;
products clearly marked as final sale;
craft kits or materials that have been started, stitched, assembled, cut, marked, used or returned incomplete.

Applicable restrictions will be disclosed before purchase or in the Return and Refund Policy.

Nothing in these Terms excludes or limits:

a mandatory right of withdrawal;
a statutory legal guarantee;
remedies for defective or non-conforming goods;
any other consumer right that cannot legally be waived.

12. Personal and non-commercial use

The website is intended primarily for personal shopping and informational use.

You may not reproduce, duplicate, copy, sell, resell or commercially exploit a substantial part of the website without our prior written permission.

We may restrict or cancel orders that reasonably appear to involve:

unauthorized resale;
automated purchasing;
fraudulent activity;
misuse of promotions;
interference with normal availability for other customers.

This section does not prohibit lawful activity that cannot legally be restricted.

13. Intellectual property

The website and its contents, including text, layout, graphics, logos, photographs, product presentation, code and other materials, are owned by or licensed to Stitchery Shop and are protected by applicable intellectual-property laws.

Without prior written permission, you may not:

copy product photographs or descriptions for commercial use;
reproduce substantial portions of the website;
use our name, trademarks or branding in a misleading manner;
scrape or systematically extract content for commercial purposes;
interfere with technical protections or website security;
falsely suggest an affiliation with or endorsement by Stitchery Shop.

Intellectual-property rights belonging to manufacturers, artists, designers and other licensors remain the property of their respective owners.

Purchasing a kit or product does not transfer copyright, trademark or other intellectual-property rights in its artwork or design unless expressly stated.

14. Reviews, photographs and other submissions

You retain ownership of reviews, photographs, messages and other original content that you submit.

When you intentionally submit content for public display, such as a product review or photograph of a completed project, you grant Stitchery Shop a non-exclusive, worldwide, royalty-free license to:

host the content;
reproduce it;
display it;
resize or format it;
use it in connection with operating and promoting Stitchery Shop.

This license does not transfer ownership of your content to us.

You represent that:

you created the content or have permission to submit it;
it does not infringe another person’s intellectual-property, privacy or other rights;
it is not knowingly false or misleading;
it is not unlawful, threatening, abusive, defamatory or discriminatory;
it does not contain malware or unauthorized confidential information.

We may moderate, reject or remove submitted content that is unlawful, misleading, irrelevant, abusive, infringing or inconsistent with these Terms.

We are not required to publish or retain every submission.

15. Third-party services and links

The website may use or link to services operated by third parties, including Shopify, payment providers, shipping carriers, postal operators, social networks, analytics services and customer-account providers.

Third-party websites and services are governed by their own terms and privacy practices.

We are not responsible for the independent content, security or practices of a third-party website merely because the website contains a link to it.

This section does not limit any responsibility that applicable law places on us as the seller.

16. Prohibited uses

You may not use the website or its services:

for unlawful, fraudulent or deceptive purposes;
to infringe intellectual-property, privacy or other legal rights;
to submit false billing, payment or shipping information;
to impersonate another person;
to transmit viruses, malware or harmful code;
to attempt unauthorized access to accounts, systems or data;
to interfere with website operation or security;
to collect personal information without authorization;
to send spam, phishing messages or other abusive communications;
to scrape or systematically extract website content for unauthorized commercial use;
to circumvent security, purchase limits or technical restrictions.

We may restrict access when reasonably necessary to protect customers, Stitchery Shop, Shopify or another service provider.

17. Website availability and accuracy

We aim to keep the website available, secure and accurate, but uninterrupted or error-free operation cannot be guaranteed.

Occasionally, the website may contain typographical errors, inaccurate availability information or other mistakes relating to product descriptions, prices, promotions, shipping charges, delivery estimates or inventory.

We may correct such errors and update the website when they are discovered.

We may maintain, modify, suspend or discontinue website features when reasonably necessary.

Temporary website unavailability does not eliminate obligations relating to orders that we have already accepted.

18. Consumer rights and warranties

Products sold through the website are subject to any warranties, legal guarantees and consumer protections that apply under mandatory law.

Nothing in these Terms excludes or limits:

liability for fraud or intentional misconduct;
liability for death or personal injury where it cannot legally be excluded;
rights concerning defective or non-conforming goods;
statutory warranties or legal guarantees;
rights that cannot legally be waived or restricted.

Any mandatory consumer rights applicable in your state, country or region remain in effect.

19. Limitation of liability

To the maximum extent permitted by applicable law, Stitchery Shop is not liable for indirect, incidental, special or consequential losses resulting solely from use of the website when such losses were not reasonably foreseeable.

For claims that are not governed by mandatory consumer law, our total liability relating to a particular order will not exceed the amount paid for the product or order giving rise to the claim.

These limitations do not apply where liability cannot legally be excluded or limited.

Nothing in this section limits remedies available for defective goods, non-delivery, fraud, intentional misconduct or another matter protected by mandatory law.

20. Events outside our reasonable control

We are not responsible for a delay or failure caused by circumstances outside our reasonable control, including:

severe weather;
war or civil disturbance;
government restrictions;
customs actions;
postal or transportation disruption;
labor disputes;
power failures;
major technical outages;
natural disasters.

When such an event affects an order, we will make reasonable efforts to communicate with you and provide an appropriate option consistent with applicable law.

This section does not permit us to retain payment when applicable law requires cancellation or a refund.

21. Governing law and disputes

These Terms are governed by the laws of the Commonwealth of Virginia, United States, without regard to conflict-of-law principles.

This choice of law does not deprive a consumer of mandatory protections provided by the laws of the consumer’s state or country of residence.

Where permitted by law, a dispute relating to these Terms or an order may be brought in an applicable state or federal court located in Virginia.

Nothing in this section prevents a consumer from:

bringing a claim in another court where mandatory law permits;
using a legally available consumer dispute-resolution procedure;
exercising any non-waivable right.

Before beginning formal proceedings, we encourage you to contact us so that we can attempt to resolve the issue.

22. Changes to these Terms

We may update these Terms to reflect changes to our business, website, services, policies or applicable legal requirements.

The current version will be published on this page with a revised “Last updated” date.

Changes do not retroactively alter the terms applicable to a completed purchase unless required by law or agreed with the customer.

23. Severability, waiver and entire agreement

If a provision of these Terms is found invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

Failure to enforce a provision on one occasion does not waive our right to enforce it later.

These Terms, together with the policies and product-specific information expressly incorporated into them, form the agreement governing your use of the website and purchases from Stitchery Shop.

Product-specific terms clearly disclosed before checkout take precedence over inconsistent general wording in these Terms for that product.
